Software Licenses & Subscription Policy

This Software Licenses & Subscription Policy (“Policy”) outlines the terms and conditions governing access to and use of software, platforms, and services (“Software”) offered by Uplink Works LLC (“Uplink Works”, “we”, “us”, or “our”). By purchasing, subscribing to, or using our Software, you agree to comply with this Policy.
1. License Grant
Subject to your compliance with applicable terms (including payment), Uplink Works grants you a non-exclusive, non-transferable, and revocable license to access and use the Software as follows:
- Single User License: For individual use by one person per account.
- Multi-User or Enterprise License: As defined in your service agreement or subscription plan.
- Duration: Based on your subscription term (monthly, annual, or custom contract).
You may not sublicense, sell, rent, or distribute the Software without written permission.
2. Subscription Plans
- Monthly Plans: Renew every 30 days unless cancelled.
- Annual Plans: Renew annually and may include a discount over monthly rates.
- Custom Business Plans: Tailored to your needs under a separate agreement.
You are responsible for reviewing the features, usage limits, and pricing associated with your selected plan.
3. Billing and Renewals
- Subscriptions are automatically renewed at the end of each billing cycle unless cancelled in advance.
- Payment methods are stored securely and charged on the billing due date.
- Failed payments may result in service suspension or termination after reasonable notice.
4. License Restrictions
- Reverse-engineer, decompile, or attempt to extract source code
- Circumvent license restrictions, metering, or user limits
- Use the Software to create competing products
- Share login credentials or allow unauthorized access
Violating these restrictions may result in immediate suspension or termination of service.
5. Software Updates & Changes
We may release updates, patches, or enhancements to improve security, functionality, or performance. Updates are generally deployed automatically. Continued use of the Software after an update implies consent. Some new features may only be available under upgraded plans or with additional licenses.
6. Trial Licenses
- Trial periods are limited (e.g., 14 or 30 days).
- Upon expiration, access may be revoked unless you convert to a paid subscription.
- Trials are limited to one per organization or user, unless otherwise authorized.
7. License Termination or Suspension
- You breach any part of this Policy or our Terms of Use
- Payments are not received within a reasonable time
- Fraudulent, abusive, or illegal activity is detected
Upon termination:
- Access to the Software and associated data may be revoked
- Any active licenses or user rights are immediately voided
8. Intellectual Property Rights
All rights, title, and interest in the Software, including all intellectual property rights, are and remain the exclusive property of Uplink Works LLC or its licensors. This Policy does not transfer ownership or grant rights beyond the limited use license.
9. Usage Monitoring & Compliance
We may monitor usage to ensure compliance with licensing terms. This includes:
- Verifying the number of users or active seats
- Identifying account sharing or abuse
- Auditing enterprise deployments as permitted by contract
10. Support and Service Level
- Email or live chat support during business hours
- Guaranteed response times (as defined in your plan or SLA)
- Access to documentation, training, and product updates
11. Modifications to this Policy
We may update this Policy from time to time. Material changes will be communicated through our website or email. Continued use of our Software after changes constitutes acceptance of the updated terms.
