End User License Agreement (EULA)

This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“User” or “You”) and Uplink Works LLC, a company incorporated in the United States (“Uplink Works,” “we,” “us,” or “our”), governing your use of Uplink Works' software, SaaS products, websites, and related services (collectively, the “Software”). By installing, accessing, or using the Software, you accept and agree to be bound by the terms of this EULA. If you do not agree to these terms, do not use or access the Software.
1. License Grant
Subject to your compliance with this Agreement and payment of applicable fees, Uplink Works grants you a non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Software for your internal business purposes only, in accordance with your subscription tier or service agreement.
2. Scope of Use
- Access the Software via browser or app interface
- Use the Software solely for business purposes authorized under your subscription
- Download or interact with client-side components (if applicable)
You may not:
- Reverse-engineer, decompile, or disassemble the Software
- Modify, reproduce, distribute, or create derivative works
- Share login credentials or resell access
- Use the Software to violate laws or third-party rights
3. Ownership and Intellectual Property
All rights, title, and interest in and to the Software, including all intellectual property rights, remain the sole and exclusive property of Uplink Works LLC or its licensors. You receive no ownership interest or implied rights beyond the license granted herein.
4. Term and Termination
This EULA is effective as of the date you first access the Software and remains in effect until terminated. We may terminate or suspend your license immediately:
- For non-payment
- For violation of this EULA or other Uplink Works policies
- If required by law or governmental authority
Upon termination:
- Your access to the Software will cease
- You must delete any locally stored components or copies
- All rights granted under this EULA will be revoked
5. Subscription and Fees
Use of the Software may require a paid subscription. Fees are defined in your service or license agreement. Failure to pay may result in service interruption or termination.

6. Data and Privacy
We process personal data in accordance with our Privacy Policy. You acknowledge that your data may be transferred to and processed in the United States or other jurisdictions where we or our sub processors operate. If you are subject to GDPR or other data protection laws, we provide necessary contractual protections through data processing agreements (DPAs) upon request.
7. Updates and Maintenance
We may update, upgrade, patch, or otherwise modify the Software at any time without prior notice. These updates may affect features, performance, or availability. Your continued use constitutes acceptance of such changes.
8. Third-Party Services
The Software may integrate with third-party tools or APIs. Uplink Works is not responsible for the availability, security, or functionality of those services, and use is subject to their terms.
9. Disclaimer of Warranties
The Software is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied. We disclaim all warranties, including:
- Fitness for a particular purpose
- Non-infringement
- Availability or uptime
- Error-free operation or uninterrupted access
Some jurisdictions do not allow the exclusion of certain warranties, so these exclusions may not apply to you.
10. Limitation of Liability
To the maximum extent permitted by law, Uplink Works shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of data, business, revenue, or profits
- Damages exceeding the amount paid by you in the past 6 months
11. Indemnification
You agree to indemnify and hold harmless Uplink Works, its employees, directors, and affiliates from any claims, damages, or liabilities arising from:
- Your breach of this Agreement
- Your use or misuse of the Software
- Violation of applicable law or third-party rights
12. U.S. Government Use
The Software is a “commercial item” as defined under 48 CFR §2.101 and is provided to U.S. government end users with only those rights as are granted to all other end users pursuant to this Agreement.
13. Export Compliance
You agree not to export, re-export, or transfer the Software in violation of U.S. export control laws. You warrant that you are not located in, or a citizen of, any country subject to U.S. embargo or on any denied party list.
14. Governing Law and Jurisdiction
This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
15. Entire Agreement
This EULA, together with our Terms of Use, Privacy Policy, and any applicable service agreement, constitutes the entire agreement between you and Uplink Works with respect to the Software.
